Terms of Service

1.1 Nature of Services. Futures with Rob provides an online educational platform ("Services") that delivers structured trading and investing education through video lessons, quizzes, exams, community features, a trade journal tool, and coaching support. Our platform operates at protrader.education and any affiliated subdomains or mobile applications.

1.2 Educational Content Only — Not Financial Advice. ALL content, materials, tools, simulations, strategies, charts, commentary, and educational resources provided through our Services are intended solely for educational, informational, and training purposes. Nothing on our platform constitutes:

• A recommendation or solicitation to buy, sell, hold, or trade any financial instrument, security, futures contract, option, currency, or commodity.
• Personalized investment advice or financial planning services.
• A guarantee of profit or protection against loss in any market.
• A promise of past performance or implied future results.

1.3 Risk Disclosure. Trading financial instruments involves substantial risk of loss and is not appropriate for all investors. You should carefully consider your financial situation, risk tolerance, and investment objectives before making any trading decisions. Futures with Rob is not registered as an investment adviser, broker-dealer, commodity trading adviser, or financial planner with any regulatory authority, including the SEC, CFTC, FINRA, or any state regulatory body.

2.1 Eligibility. You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our Services. By registering, you represent and warrant that you meet these requirements. Our Services are not available to individuals under 18 years of age.

2.2 Account Creation. You may register using an email address and password, or by authenticating through a supported third-party service (currently Google Sign-In). You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

2.3 Account Security. You are solely responsible for:

• Maintaining the confidentiality of your account credentials.
• All activity that occurs under your account.
• Immediately notifying us at support@protrader.education of any unauthorized use of your account.

2.4 Single Account Policy. Each user may maintain only one active account. Creating multiple accounts to circumvent access restrictions, retake locked assessments, or manipulate leaderboard standings is strictly prohibited.

2.5 Geographic Restrictions. You are responsible for ensuring that your use of our Services complies with all applicable laws and regulations in your jurisdiction.

You agree to use Futures with Rob's Services only for lawful purposes and in a manner consistent with these Terms. You expressly agree not to:

• Share Credentials: Share, sell, transfer, or sublicense your account login credentials to any other person.
• Reproduce Content: Copy, reproduce, distribute, publicly display, publish, adapt, translate, create derivative works from, or commercially exploit any course content, videos, proprietary methodologies, strategies, quiz questions, or materials without our prior written consent.
• Circumvent Technology: Attempt to bypass, disable, or circumvent any content protection, geographic restriction, access controls, or DRM mechanisms.
• Scrape or Automate: Use automated tools, bots, scrapers, or scripts to access, extract, or index our platform content.
• Disrupt Services: Interfere with, damage, or disrupt our platform, servers, networks, or the experience of other users.
• Impersonate: Impersonate Futures with Rob, its staff, instructors, or other users.
• Violate Laws: Use our platform for any purpose that violates applicable local, state, national, or international laws or regulations.
• Harmful Content: Post or transmit any content that is defamatory, harassing, threatening, abusive, obscene, hateful, or otherwise objectionable.

4.1 Futures with Rob Content. All content available on our platform — including but not limited to course videos, lecture slides, written materials, graphics, logos, trademarks, proprietary trading strategies (the "VCR Process," ORB methodology, and others), software, and the platform architecture — is the exclusive intellectual property of Futures with Rob Inc. or its licensors and is protected by United States and international copyright, trademark, trade secret, and other intellectual property laws.

4.2 Limited License to You. Subject to your compliance with these Terms, Futures with Rob grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the platform content solely for your personal, non-commercial educational purposes.

4.3 Your Content. You retain ownership of any content you create within the platform (e.g., trade journal entries, community posts). By submitting content to our community features, you grant Futures with Rob a non-exclusive, royalty-free, worldwide license to display, reproduce, and distribute that content within the platform. You represent that you have all rights necessary to grant this license.

4.4 Feedback. If you provide us with feedback or suggestions about our Services, we may use this feedback without restriction or compensation to you.

5.1 Fees. Access to certain premium features or content may require payment of fees as described at the time of purchase. All fees are stated in U.S. dollars unless otherwise specified.

5.2 Payment Processing. Payments are processed by third-party payment processors. By providing payment information, you authorize us to charge your payment method for all applicable fees. You represent that you are authorized to use the payment method provided.

5.3 Subscriptions. If you subscribe to a recurring plan, you authorize us to charge your payment method on a recurring basis at the then-current subscription rate until you cancel. You may cancel at any time through your account settings; cancellation takes effect at the end of the current billing period.

5.4 Refund Policy. Due to the digital, immediately accessible nature of our course content:

• Requests for refunds submitted within 7 days of initial purchase, where less than 20% of course content has been accessed, will be honored at our discretion.
• No refunds will be issued for accessed or substantially consumed course content.
• No refunds will be issued for accounts suspended due to violations of these Terms.

6.1 Community Guidelines. Our community features (chat, forums, posts) are designed for learning, support, and sharing trading insights. All community interaction must remain respectful, constructive, and on-topic. Prohibited community conduct includes harassment, spam, promotion of get-rich-quick schemes, posting of real portfolio screenshots as performance guarantees, or solicitation of other users' personal information.

6.2 No Financial Advice in Community. Users may not provide personalized financial, investment, or trading recommendations to other users within our community features. General educational discussion of trading concepts is permitted; specific directional trading advice targeted at individuals is not.

6.3 Moderation. Futures with Rob reserves the right (but has no obligation) to monitor, edit, remove, or refuse to post any user-generated content that violates these Terms or community guidelines, at our sole discretion and without notice.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

PROTRADER DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT ANY RESULTS OR OUTCOMES FROM APPLYING EDUCATIONAL CONTENT WILL MEET YOUR EXPECTATIONS OR BE PROFITABLE; OR THAT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY EDUCATIONAL MATERIALS, MARKET DATA, OR SIMULATED RESULTS IS GUARANTEED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROTRADER INVESTING INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, INSTRUCTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES; TRADING LOSSES OR INVESTMENT LOSSES ARISING FROM YOUR APPLICATION OF EDUCATIONAL CONTENT; OR DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR ACCOUNT.

PROTRADER'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID PROTRADER IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Futures with Rob Inc. and its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Services or reliance on any educational content, any trading or investment decisions you make, your User-Generated Content, or your violation of any applicable laws or the rights of any third party.

10.1 By You. You may terminate your account at any time by contacting us at support@protrader.education or using the account deletion feature in your settings.

10.2 By Futures with Rob. We reserve the right to suspend or permanently terminate your account, with or without notice, at our sole discretion for violation of these Terms, fraudulent or illegal activity, sharing or reselling course content, creating multiple accounts, or non-payment of applicable fees.

10.3 Effect of Termination. Upon termination, your license to access the Services immediately ceases. Provisions that by their nature should survive termination (including Sections 4, 7, 8, 9, 11, and 12) shall survive.

11.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions.

11.2 Informal Resolution. Before initiating any formal legal proceedings, you agree to first contact us at legal@protrader.education and attempt to resolve any dispute informally within 30 days.

11.3 Binding Arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except that either party may seek relief in a small claims court for disputes within that court's jurisdiction.

11.4 Class Action Waiver. YOU AND PROTRADER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the "Last Updated" date, sending an email notification to your registered address at least 14 days before the changes take effect, and displaying an in-platform banner notification. Your continued use of the Services after the effective date of any change constitutes your acceptance of the updated Terms.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Futures with Rob regarding your use of the Services.

Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms freely in connection with a merger, acquisition, or sale of assets.

Force Majeure: Futures with Rob shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, pandemics, government actions, or technical infrastructure failures.
